These terms describe how quotations and orders are handled by Inner Mongolia Sanlian Chemical Group Co., Ltd. ("we", "us"). They do not replace the contract signed for a specific order, which prevails in the event of any conflict.
1. Quotations
A quotation is valid for the period stated on it. It specifies the grade and grade level, the quantity, the packaging, the price basis, the Incoterm and the payment terms. Anything not stated on the quotation is not agreed.
2. Specification
The resin supplied conforms to the published specification for the grade and grade level ordered. A certificate of analysis covering the batch is issued with each shipment and accompanies the shipping documents. Where a buyer has agreed a specific figure in the quotation, that agreed figure prevails over the published table.
Grades are supplied in the grade level named on the order. We do not substitute grade levels.
3. Quantities and tolerances
Quantities are stated in metric tonnes. The agreed weight tolerance, the moisture and the packing standard are as stated on the quotation.
4. Payment
The payment method and the milestone schedule are as stated on the quotation. Unless the quotation says otherwise, payment is by irrevocable letter of credit at sight or by telegraphic transfer with the balance before shipment.
5. Delivery
The delivery term is the Incoterm named on the quotation. Risk and cost pass according to that Incoterm. Lead time is counted from the date of receipt of the agreed advance payment and the final written confirmation of the specification, not from the date of the enquiry.
6. Shipping documents
The following are issued with each shipment: commercial invoice, packing list, bill of lading or air waybill, certificate of analysis, and any certificates specifically agreed in the quotation.
7. Claims
Any claim relating to the quality of the resin must be raised in writing within 30 days of the date of discharge, quoting the batch number on the certificate of analysis and the container or waybill reference. Claims raised outside that period cannot be entertained.
8. Liability
Our liability in respect of any order is limited to the value of the goods supplied under that order. Nothing in these terms limits liability that cannot be limited under applicable law.
9. Governing law
These terms are governed by the laws of the People's Republic of China. Any dispute is referred to the competent courts of Hohhot, Inner Mongolia, unless the quotation names a different forum.
10. Changes
If we change these terms we will update the date below. The terms that apply to your order are the ones stated on the quotation for that order.
